1. GENERAL PROVISIONS

1.1 Scope of Application

These Terms and Conditions apply to all sales contracts between AurDvin GmbH (hereinafter "AurDvin" or "the Seller") and its customers (hereinafter "the Customer") for the sale of wines, spirits, alcoholic beverages, non-alcoholic beverages, food products, delicatessen items, and related products.

1.2 Waiver of Customer's Terms

The Customer explicitly waives its own standard terms and conditions, even if these were drawn up after these Terms and Conditions. Any derogation must be expressly agreed to in advance in writing to be valid.

2. OFFERS AND CONTRACT FORMATION

2.1 Product Display

The presentation of products on our website, in catalogues, or other marketing materials does not constitute a legally binding offer but rather an invitation to the Customer to place a binding order.

2.2 Order Placement

By clicking the order button or submitting an order in writing, the Customer places a binding order for the products listed on the order page.

2.3 Order Confirmation

Immediately upon receipt of the order, AurDvin will confirm receipt of the order by email. The sales contract is concluded only when AurDvin confirms dispatch of the goods by email (dispatch confirmation) or at the latest upon delivery of the goods.

2.4 Prepayment

For orders requiring prepayment, the sales contract is concluded upon confirmation by AurDvin of receipt of the advance payment.

3. PRICES AND PAYMENT

3.1 Prices

All prices are stated in Swiss Francs (CHF) and include Swiss Value Added Tax (VAT) at the applicable rate. Transport and shipping costs are not included in the stated prices unless expressly indicated otherwise.

3.2 Price Validity

The prices published at the time of order placement apply. AurDvin reserves the right to make changes to the product range, vintages, prices, and conditions. Corrections of obvious errors and typographical mistakes are reserved. Claims for damages arising from obvious errors and typographical mistakes are excluded.

3.3 Payment Terms

Invoices are payable within 30 days net from the invoice date, unless otherwise stated. AurDvin accepts payment by:

  • Credit cards (all major cards)
  • Bank transfer
  • Other payment methods as agreed in writing

3.4 Late Payment

In the event of late payment, AurDvin reserves the right to charge default interest at a rate of 5% per annum from the due date. AurDvin is authorized to suspend all services without prior notice in case of payment default.

3.5 Debt Collection

If payment remains outstanding more than sixty (60) days after the due date, AurDvin reserves the right to engage a debt collection agency. All legal costs and collection fees shall be borne by the Customer.

3.6 Reservation of Title

All goods remain the property of AurDvin until full payment has been received. In case of payment default, AurDvin is entitled to withdraw from the sales contract. AurDvin reserves the right to register the retention of title with the competent authority.

3.7 International Payments

For international customers, certain countries may apply withholding tax on invoice amounts in accordance with their domestic legislation. Any withholding tax shall be paid by the Customer to the tax authorities. Under no circumstances shall AurDvin be involved in costs related to a country's legislation. The full invoice amount shall be due to AurDvin without deduction.

4. AGE RESTRICTIONS

4.1 Legal Requirements

Swiss law prohibits the sale of:

  • Spirits, aperitifs, and alcopops to persons under 18 years of age
  • Wine, beer, and cider to persons under 16 years of age

4.2 Age Verification

To comply with legal requirements, particularly in the online shop, AurDvin may require the Customer to provide their date of birth. Our sales advisors are entitled at any time to verify the Customer's age by requesting identification documents. Online shop purchases are only permitted from the age of 18.

5. DELIVERY

5.1 Delivery Terms

Our prices are pick-up prices at our locations. For home deliveries, transport costs will be charged separately.

5.2 Standard Delivery

  • Delivery Area: Throughout Switzerland and the Principality of Liechtenstein
  • Delivery Fee: CHF 14.00 per delivery to one address
  • Free Delivery: For orders exceeding CHF 300.00 per delivery address
  • Delivery Time: Orders are generally delivered within 2-3 business days by our logistics partners

If the order value after deduction of a voucher is less than CHF 300.00, the standard delivery fee will be charged.

5.3 Express Delivery

Express deliveries are delivered on working days to most regions within approximately 48 hours. Express delivery is not offered for orders comprising more than 10 delivery addresses.

5.4 Delivery Subject to Availability

Despite careful stock management, individual items may sell out faster than anticipated. Therefore, AurDvin cannot provide a delivery guarantee. Availability is subject to stock on hand.

5.5 Substitute Vintages

Unless expressly requested otherwise, AurDvin will supply without prior inquiry the successor vintage of a discontinued wine, provided it is similar in variety, price, and quality. For high-quality stored wines, AurDvin will only select a successor vintage itself if corresponding authorization has been given by the Customer.

6. RIGHT OF RETURN

6.1 Return Period

Customers have the right to return products such as wine pourers, champagne stoppers, and similar accessories within 14 days of delivery. The right of return does not apply to alcoholic beverages, food products, or perishable goods.

6.2 Exercise of Return Right

The right of return is exercised by returning the goods; no explanation is required. Returns must be sent to:

6.3 Return Costs

The cost of return shipping shall be borne by the Customer.

6.4 Refund

Upon receipt of the returned goods, any payment already made will be promptly refunded to the Customer. AurDvin reserves the right to deduct from the refundable purchase price or charge separately for any damage, excessive wear of the goods, or agreed delivery costs. No deduction will be made if the loss of value is attributable to handling necessary to establish the nature, characteristics, and functioning of the goods.

6.5 Refund Timing

AurDvin may refuse the refund until the goods have been returned or until the Customer has provided proof that the goods have been dispatched, whichever is earlier.

7. SATISFACTION GUARANTEE

7.1 Wine Guarantee

Any wine that is no more than 10 years old and does not meet your expectations will be taken back without objection upon presentation of the receipt. We will grant free replacement of goods, provided the wine is available at AurDvin. Cash refunds up to a maximum of the purchase price will only be made if no replacement goods can be provided and may be issued in AurDvin gift cards.

7.2 Exclusions

Wines purchased at a price of CHF 150.00 or more per bottle are excluded from the satisfaction guarantee.

8. LIABILITY

8.1 Limitation of Liability

AurDvin undertakes to provide high-quality products and services in accordance with agreed timeframes. However, none of AurDvin's obligations can be considered an obligation to achieve a specific result.

8.2 Exclusion of Liability

Any liability in connection with our offer (including incorrect illustrations, texts, and prices) and delivery is excluded to the extent permitted by law. Under no circumstances may AurDvin be required by the Customer to appear as a third party in the context of any claim for damages filed against the Customer by an end consumer.

8.3 Notice of Defects

To be admissible, AurDvin must be notified of any claims by registered letter sent to its registered office within 8 days of delivery of the goods or provision of services.

9. INTELLECTUAL PROPERTY

9.1 Copyright

The website layout, graphics and images used, collection of articles, and individual articles are protected by copyright. Reproduction or use without express permission from AurDvin is not permitted. All rights are reserved by the company.

10. DATA PROTECTION

10.1 Personal Data

AurDvin undertakes to process personal data in accordance with applicable data protection law. The processing of personal data by AurDvin is explained in the Privacy Policy, which forms an integral part of these Terms and Conditions.

10.2 Credit Checks

For invoice payments, AurDvin reviews and evaluates the data provided by customers and, where justified, maintains data exchange with credit agencies such as CRIF AG, Riesbachstrasse 61, 8008 Zürich, Switzerland.

11. EVENTS AND TASTINGS

11.1 Registration

Registration for an event can be made online, via email, or verbally by telephone and is binding (contract conclusion at the time of registration).

11.2 Costs

Depending on the selection of region/partner company and wine, price differences may arise. The price stated in the specific offer is binding.

11.3 Cancellation by Customer

Up to two days before the start of the event, the event costs will be refunded less a processing fee. In case of later withdrawal (1 day before the event or on the day of the event itself), the full event price will be charged.

11.4 Cancellation by AurDvin

AurDvin reserves the right to cancel an event, for example due to insufficient number of participants, illness of the event leader, or delivery problems with wines. In such cases, the participant has primary entitlement to a replacement event. If no equivalent offer can be made, the costs will be refunded.

11.5 Liability

Event participants are liable for all damage to property of AurDvin and third parties caused by them during event participation. No liability can be accepted for damage and losses to the property of event participants. Participation in events is at the participant's own risk.

12. MINIMUM ORDER QUANTITIES

There is no obligation to purchase minimum quantities unless expressly agreed otherwise in writing.

13. NOTICES AND COMMUNICATIONS

13.1 Official Notices

Official notices are published in the Swiss Official Gazette of Commerce (SHAB).

13.2 Communications to Shareholders/Members

Communications to shareholders or company members are made by registered letter to the addresses recorded in the share register.

13.3 Communications to Customers

Communications to customers are made by email to the email address provided or by registered letter to the postal address provided.

14. APPLICABLE LAW AND JURISDICTION

14.1 Governing Law

All contractual relationships shall be governed exclusively by Swiss substantive law. The Vienna Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

14.2 Place of Jurisdiction

The ordinary courts at the registered office of AurDvin GmbH (Zürich) shall have exclusive jurisdiction for all disputes arising from or in connection with contracts between AurDvin and its customers.

15. SEVERABILITY

Should any provision of these Terms and Conditions be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest to the economic purpose of the invalid or unenforceable provision.

16. AMENDMENTS

AurDvin reserves the right to amend these Terms and Conditions at any time. Customers will be notified of changes. The version valid at the time of order placement applies to each contract.
